Terms of Service - Maple Leaf Garden Care Ltd.

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Maple Leaf Garden Care Ltd. (“Maple Leaf Garden Care Ltd.,” “we,” “us,” or “our”), governing your access to and use of our gardening and property maintenance services in Canada.

By requesting, booking, accepting, or allowing the performance of any services from Maple Leaf Garden Care Ltd., you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all services provided by Maple Leaf Garden Care Ltd. to residential, commercial, and other property clients, unless a separate written agreement signed by both parties expressly states otherwise.

2. Scope of Services

Maple Leaf Garden Care Ltd. provides garden and landscape maintenance services, which may include, without limitation:

  • Lawn and garden maintenance
  • Seasonal planting and flower bed design
  • Pruning and shrub trimming
  • Mulching and soil enrichment
  • Weed control and bed cleanup
  • Irrigation system checks and adjustments
  • Spring and fall garden cleanups

The exact scope, schedule, and frequency of services will be determined based on the work order, estimate, service plan, or written confirmation agreed to by the Client and Maple Leaf Garden Care Ltd.

Unless expressly stated in writing, our services do not include pest extermination, arborist services requiring certification, electrical work, plumbing work beyond minor irrigation adjustments, structural repairs, or hazardous material removal.

We may refuse, suspend, or modify services where site conditions present an unreasonable safety risk, require specialized equipment or licensing, or are otherwise unsuitable for safe and effective performance.

3. User Obligations and Responsibilities

The Client agrees to:

  • Provide accurate information regarding the property, requested services, access instructions, and site-specific hazards.
  • Ensure that Maple Leaf Garden Care Ltd. has safe and reasonable access to the work area on the scheduled service date and time.
  • Secure pets, children, and valuables, and remove or identify fragile, hidden, or prohibited items before service begins.
  • Disclose underground utilities, irrigation components, drainage systems, sprinkler heads, lighting, cables, or other concealed features that may be affected by service work.
  • Obtain any necessary permits, authorizations, strata approvals, landlord approvals, or neighbour consents required for the work.
  • Maintain the property in a condition suitable for the requested services, including appropriate watering, drainage, and maintenance between visits when applicable.
  • Inspect completed work promptly and notify us of any concerns within a reasonable time after service completion.

The Client is responsible for any delay, additional cost, or damage resulting from inaccurate information, unsafe site conditions, hidden obstacles, or failure to comply with these obligations.

4. Payment Terms and Conditions

Fees for services will be based on our current rates, a written estimate, a quote, a service package, or another agreed pricing method. All prices are stated in Canadian dollars unless otherwise specified.

Unless otherwise agreed in writing:

  • Invoices are due upon receipt or within the payment period stated on the invoice.
  • We may require a deposit, prepayment, or progress payment for recurring, seasonal, or larger projects.
  • Any taxes, including GST/HST/PST where applicable, will be added in accordance with Canadian law.
  • Late payments may be subject to interest at the maximum lawful rate or, if no rate is specified, at a reasonable commercial rate permitted by law.
  • We may suspend services for overdue accounts until all outstanding amounts are paid in full.

If a Client disputes an invoice, the Client must notify Maple Leaf Garden Care Ltd. in writing within a reasonable time after receipt of the invoice, stating the specific basis of the dispute. The undisputed portion of the invoice remains payable when due.

Estimates are based on the information available at the time of preparation and may change if actual site conditions differ from those described, or if the Client requests additional services.

5. Cancellation and Refund Policy

The Client may cancel or reschedule a service by providing reasonable advance notice. Any cancellation fee, rescheduling fee, or minimum charge will be disclosed in the estimate, booking confirmation, or invoice, or otherwise communicated before the service date.

  • Same-day or late cancellations may be charged in full or in part where preparation, travel, or labour costs have already been incurred.
  • If Maple Leaf Garden Care Ltd. is unable to perform services due to weather, unsafe conditions, or events beyond our control, we may reschedule the service at no additional charge, where reasonably practicable.
  • Refunds, if any, are issued only where required by law or where Maple Leaf Garden Care Ltd. determines, in its reasonable discretion, that a refund is appropriate.

No refund will be provided for work already performed, materials already purchased, or services completed in accordance with the agreed scope, except where required by applicable law.

For seasonal planting, soil enrichment, and other work involving living materials or natural products, we do not guarantee survival, growth, or performance outcomes affected by weather, watering, pests, disease, soil conditions, or Client care after completion.

6. Liability Limitations

To the fullest extent permitted by applicable law, Maple Leaf Garden Care Ltd. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of enjoyment, loss of use, or business interruption, arising out of or relating to the services or these Terms.

To the fullest extent permitted by law, Maple Leaf Garden Care Ltd.’s total aggregate liability for any claim arising from or related to the services, whether in contract, tort, negligence, or otherwise, shall not exceed the total amount paid by the Client to Maple Leaf Garden Care Ltd. for the specific service giving rise to the claim.

We are not responsible for:

  • Pre-existing defects, hidden damage, or site conditions not reasonably visible or disclosed before service.
  • Damage caused by underground utilities, irrigation systems, drainage systems, or other concealed features not properly identified by the Client.
  • Damage caused by severe weather, pests, disease, flooding, drought, fire, vandalism, theft, or other events beyond our control.
  • Failure of plants, turf, soil amendments, or irrigation systems due to conditions outside our control or ordinary horticultural risk.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, or statutory obligations that cannot legally be waived.

7. Intellectual Property Rights

All materials created or provided by Maple Leaf Garden Care Ltd., including service descriptions, written recommendations, design concepts, treatment plans, photographs, pricing templates, and other business materials, remain our property or the property of our licensors, unless otherwise agreed in writing.

The Client may use deliverables provided for the Client’s own property and internal purposes only. The Client may not copy, reproduce, distribute, sell, modify, or publicly display our materials for commercial use without our prior written consent.

We may take before-and-after photographs of work performed for quality assurance, training, recordkeeping, marketing, or insurance purposes, provided that any use of such images complies with applicable privacy laws and does not disclose confidential information unlawfully.

8. Data Protection and Privacy

Maple Leaf Garden Care Ltd. collects, uses, discloses, and retains personal information only as necessary to provide services, manage client relationships, process payments, meet legal obligations, and operate our business in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable, and any substantially similar provincial legislation.

Personal information may include contact details, service addresses, billing information, access instructions, communication records, and service history. We protect personal information using reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the information.

We may share personal information with service providers, payment processors, insurers, legal advisors, or governmental authorities where reasonably necessary for business operations, contract performance, legal compliance, or enforcement of these Terms.

By using our services, the Client consents to the collection, use, and disclosure of personal information as described in these Terms and in any applicable privacy policy communicated by Maple Leaf Garden Care Ltd. The Client may contact us to request access to or correction of personal information, subject to legal exceptions.

9. Force Majeure

Maple Leaf Garden Care Ltd. shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to extreme weather, storms, wildfire, flood, power outages, labour disruptions, supply shortages, disease, governmental orders, transportation disruptions, acts of God, civil unrest, or emergency conditions.

Where a force majeure event occurs, we may suspend, postpone, or cancel services without liability, and will make reasonable efforts to reschedule performance when conditions permit.

10. Changes to Terms

Maple Leaf Garden Care Ltd. may update or modify these Terms from time to time to reflect changes in our business, services, or legal requirements. Updated Terms will be effective upon posting, providing notice, or the effective date stated in the revised version, as applicable.

Continued use of our services after changes become effective constitutes acceptance of the revised Terms. If the Client does not agree to any updated Terms, the Client must discontinue use of our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them or the services shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law rules.

The parties agree that the courts located in British Columbia, Canada, shall have exclusive jurisdiction over any dispute arising from or related to these Terms or the services, subject to any non-waivable rights to bring proceedings in another forum under applicable law.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision shall be severed or limited to the minimum extent necessary so that the remaining provisions remain in full force and effect.

The failure of Maple Leaf Garden Care Ltd. to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision unless expressly stated in writing.
